Within the period from January 12, 2016 to January 11, 2017 (the “Period”), cardholders with VISA branded cards issued in the Latin American and Caribbean countries detailed below (each a “Cardholder,” and collectively the “Cardholders”) shall have an opportunity to redeem an upgrade to the highest level subscription to the Evernote service categorized as “Premium” for a trial period of 3 months (hereinafter the “Promotion”). During the Period, in order to redeem the Promotion, the Cardholder must log in to the Promotion website and register to open a new account or log into his or her existing Evernote account if already a user (the “Account”). The above notwithstanding, and in order to avoid any confusion, the Promotion will not apply to current Evernote users unless they have a free (Evernote Basic) account. Therefore, as a matter of illustration, if a current Evernote user has Evernote Plus, Evernote Premium, or is part of an Evernote Business account, it will not be eligible to redeem the Promotion. . Once logged to his or her Account, Cardholder must register his or her Visa debit or credit card that is eligible for the Promotion (the “Card” or collectively the “Cards”). This process will automatically activate access to the Evernote service designated as “Premium” for a trial period of three (3) months (the “Trial Period”). Cardholders may redeem only one (1) Trial Period during the Promotion regardless of the number of eligible cards they possess. Upon accessing the Promotion website and entering his or her card information, the Cardholder consents to the use of this information for Promotion purposes. The use of this information is required to participate in the Promotion. During the Promotion, the information will be used only for promotion purposes, and subsequently, any information collected by Evernote will be subject to Evernote’s Privacy Policy. Adequate security standards will be used.

3. Cardholder will not be charged any fee or rate during the Trial Period. After the Promotion ends and the Trial Period expires, Cardholder will have the option to continue participating in the service by paying the corresponding Evernote rate as set by Evernote and accepted by the Cardholder. The premium account will not automatically renew after the promotional period unless the participant has opted-in during the registration to be billed when the promotion is over. In additional, the participant will be notified via email that the promotional period is coming to an end, the email will contain a check box that if she/he wants to continue to use premium all they need to do is check the box to be billed. If the participant does opt-in, its Card will be charged for the services as described in Evernote’s Commercial Terms.

4. These Promotion Terms and Conditions (the “Terms and Conditions”) will apply during the effective period of the Promotion implemented through any media—radio, television, printed press, telephone or computer.

9. Due to force majeure or acts of God, Visa may terminate the Promotion early by notifying participating Cardholders, which shall not generate any kind of liability whatsoever for Visa. In such cases, where carrying out or continuing the Promotion becomes an impossibility for any reason, Visa may permanently or temporarily suspend this Promotion and also introduce any pertinent modifications upon notice to the general public via the same means of communication used to launch the Promotion, and this shall not generate any type of right or claims on the part of participating Cardholders. Visa shall not be responsible, under any circumstances whatsoever, for human errors or deliberate actions of third parties that might disturb, suspend or interrupt the normal course of this Promotion.
